Terms of Service

These Terms of Service ("Terms") govern your access to and use of Lane — including our website at https://www.getlane.com, consumer accounts, mobile experiences, merchant tools, checkout integrations, and related APIs (together, the "Service"). The Service is offered by OpenMatter Inc.("OpenMatter Inc.," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Lane is an identity and checkout layer for online purchases. The Service lets you create a Laneaccount and handle, use that identity at participating merchants, save delivery destinations and preferences, route orders to the right place, and manage purchases before and after checkout — including features such as delivery changes, purchase holding ("Stash"), resale listings, contacts, and agent-assisted actions where available on your plan.

We also provide tools for merchants and partners — including checkout extensions, merchant dashboards, and APIs — so stores can offer Lane at checkout. Some capabilities may be labeled beta, waitlisted, or available only in certain regions, on certain plans, or with specific merchants. We may add, change, or remove features over time.

Lane is not a store. Unless we clearly say otherwise in writing, we do not sell the products you buy through participating merchants, and we are not a party to those purchase transactions.

2. Eligibility

You must be at least 16 years old to create a Lane account. If you purchase a paid plan or authorize purchases through the Service, you represent that you are old enough to enter into a binding contract where you live. If you use the Service on behalf of a business or other organization, you represent that you are authorized to bind that entity to these Terms.

You agree to provide accurate, current, and complete account information and to keep it up to date.

3. Accounts, handles, and security

When you sign up, you choose a Lane handle and create an account tied to your email or other credentials we support. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly if you believe your account has been compromised.

The following rules apply to every handle and account:

  • Each person should maintain only one consumer account unless we expressly authorize otherwise.
  • Handles that impersonate another person or brand, infringe third-party rights (including trademarks), are unlawful, or are obscene, hateful, or deceptive may be rejected, suspended, or reclaimed.
  • We may change handle formats, length limits, or availability rules, and we may reclaim or reassign handles when needed to protect users, resolve disputes, or comply with law.
  • Creating accounts through automated means, using disposable contact information to evade restrictions, or otherwise abusing signup is prohibited.

4. Checkout, orders, and delivery

When you use Lane at checkout with a participating merchant, you authorize us to share the checkout and delivery information needed to complete your purchase and route fulfillment — such as your handle, selected destination, and preferences — according to our Privacy Policy.

Your purchase contract is with the merchant, not with OpenMatter Inc.. Pricing, taxes, product descriptions, availability, returns, refunds, warranties, and fulfillment are the merchant's responsibility and are governed by the merchant's terms and policies.

Where the Service lets you change a delivery destination or timing after checkout, those changes depend on merchant systems, carrier rules, and order status. We do not guarantee that every order can be rerouted, held, or modified. Cutoff times, fees, and eligibility may apply.

5. Plans, billing, and paid features

Lane may offer free and paid plans with different limits and features — for example, Stash capacity, included releases, marketplace tools, or agent access. If you subscribe to a paid plan, the price, billing interval, and cancellation terms shown at purchase apply. Unless stated otherwise at checkout, paid plans renew automatically until canceled.

Payments may be processed by third-party payment providers. You agree to pay all fees and applicable taxes associated with your plan. We may change plan features or pricing with reasonable notice where required by law; continued use after a pricing change constitutes acceptance unless you cancel.

6. Stash, marketplace, and resale features

If your plan includes Stash or similar holding features, those tools help you manage when and where eligible purchases are released for delivery. Stash is not a bank, escrow, or unlimited storage service, and capacity limits, release rules, and merchant eligibility apply.

If you list items for resale or transfer through Lane, you represent that you have the right to sell or offer those items, that your listings are accurate, and that they comply with applicable law and these Terms. We may remove listings or suspend features that are unlawful, misleading, infringing, or harmful.

7. Agents, APIs, and connected services

The Service may let you connect third-party agents, apps, or developer tools to act on your behalf within the permissions you grant — for example, through agent passes, OAuth connections, or API tokens. You are responsible for reviewing what each connection can access and for revoking access you no longer trust. We are not responsible for third-party agents or integrations except as required by law.

8. Merchant accounts

If you register as a merchant or partner, additional onboarding, verification, and integration requirements may apply. You represent that you have authority to connect the stores, domains, and checkout systems you link to Lane, and that your use of merchant tools complies with applicable law, card-network rules, and the terms of platforms you integrate with (such as Shopify). Merchant waitlists, betas, or preview features may have separate availability limits.

9. Acceptable use

You agree not to:

  • Use the Service in any way that violates applicable law.
  • Use Lane to facilitate fraud, stolen goods, counterfeit products, or unlawful transactions.
  • Attempt to probe, scan, or test the vulnerability of the Service, breach security or authentication measures, or access data not intended for you.
  • Interfere with or disrupt the Service, its infrastructure, or other users' use of it, including through denial-of-service or excessive automated requests.
  • Scrape, harvest, or otherwise collect information from the Service except as expressly permitted.
  • Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent permitted by law.
  • Submit content that is unlawful, infringing, harassing, hateful, or that impersonates any person or entity.
  • Use the Service to distribute spam, malware, or other harmful content.

10. Intellectual property

The Service, including its design, text, graphics, logos, product names (including "Lane" and "OpenMatter Inc."), software, and the selection and arrangement thereof, is owned by OpenMatter Inc. or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purpose, subject to these Terms. All rights not expressly granted are reserved.

11. Feedback

If you send us feedback, ideas, or suggestions about Lane, you grant OpenMatter Inc. a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use them without restriction or compensation to you. You remain free to use your own ideas as you wish.

12. Third-party services

The Service integrates with and links to third-party merchants, platforms, payment processors, carriers, and other services. We do not control those third parties, and linking or integration does not imply endorsement. Your use of third-party services is governed by their own terms and privacy policies.

13. Privacy

Our Privacy Policy explains how we collect, use, and share information about you. By using the Service you acknowledge and agree to our Privacy Policy.

14. Text messages (SMS)

By providing your phone number, you agree to receive text messages from Lane. Message frequency varies. Message and data rates may apply. Reply HELP for help or STOP to cancel. View our Privacy Policy and Terms of Service.

15. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. OPENMATTER INC. DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT EVERY MERCHANT OR CHECKOUT WILL SUPPORT EVERY FEATURE, OR THAT ORDERS CAN ALWAYS BE REROUTED, HELD, OR DELIVERED ON A PARTICULAR TIMELINE.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENMATTER INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US$100) OR (B) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

17. Indemnification

You agree to defend, indemnify, and hold harmless OpenMatter Inc.and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your content or listings, your connected agents or integrations, or your breach of these Terms.

18. Termination

We may suspend or terminate your access to the Service, remove content, reclaim handles, or close accounts at any time if we reasonably believe you have violated these Terms or if necessary to protect users, merchants, or OpenMatter Inc.. You may stop using the Service at any time and may request account deletion as described in our Privacy Policy. Sections that by their nature should survive termination will survive, including Sections 10, 11, 15, 16, 17, 19, and 20.

19. Changes to the Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice by updating the "Last updated" date above and, where appropriate, by email or in-product notice. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

20. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute arising from or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive relief for the infringement of its intellectual property rights in any competent court. If you are a consumer in the EEA or UK, you retain the benefit of any mandatory consumer-protection laws of your country of residence.

21. Miscellaneous

These Terms, together with the Privacy Policy and any plan-specific or merchant terms presented at signup, are the entire agreement between you and OpenMatter Inc. regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them freely. These Terms do not create any agency, partnership, joint venture, or employment relationship.
